2. Legent Corporate Background

3. HP/Legent Press Release (released 2/9/93)
Legent AND HP TARGET APPLICATIONS MANAGEMENT
Industry Leaders Collaborate for Open Systems
Boston, Feb. 9, 1993- Legent Corporation and Hewlett-Packard Company
today announced a cooperative marketing and joint development pact
between the two companies designed to offer enterprise-wide system
management solutions. This will enable customers to manage large
distributed environments and integrate existing systems with open
systems computing frameworks.
With this announcement, Legent will port its leading software
management product family, Endevor, to HP 9000 computer environments
running the HP-UX operating system. In addition, Legent and HP will
collaborate to integrate Endevor with HP's SoftBench, the de facto
industry-standard development framework.
"This relationship complements Legent's strategy to provide our
customers enterprise-wide systems management solutions and expand into
open systems environments, where HP is a recognized leader" said Bob
Yellin, Legent's senior vice-president of development. "Legent and HP
customers will benefit from having the market-leading applications
management solution to develop applications for client/server and open
systems management."
"Legent's stature in the large systems software market reinforces HP's
commercial systems strategy," said Bernard Guidon, general manager of
HP's General Systems Division. "This pact will benefit customers seeking
a cost-effective, open systems alternative to their traditional computing
environments. I expect this to be the first in a series of relationships
to be formed between the two organizations."
Legent's Endevor represents the industry-standard solution for automating
the process of managing software development. This approach ensures
integrity and consistency within business critical applications. HP's
SoftBench framework is a widely accepted application integration
environment that provides a common interface to and communication among a
wide variety of programming tools.
Product testing is anticipated by the end of 1993.

4. Legent Product Descriptions
Endevor (Configuration/Change management) (available late '93/early
'94)
Endevor is Legent's family of automated application management products
which provide an integrated environment for controlling the entire
software development life cycle-from management of existing libraries to
the configuration and release of new packages. Automation eliminates
time consuming manual tasks, increases productivity and reduces the
chance of human error . Endevor supports many different platforms,
operating environments, and application development languages.
XCOM 6.2 (formerly from Spectrum Concepts) (available today)
AVAILABLE TODAY ON HP-UX RELEASES 8.02 and 9.0
XCOM 6.2 is a family of high-speed, high-volume software products
designed for mission-critical file transfer applications. XCOM 6.2 is
the first off-the- shelf software product which utilizes the APPC
capabilities of IBM's LU 6.2 communications protocol. XCOM 6.2 provides
a complete set of file transfer functions, remote report printing, and
job submission for any-to-any communications betweeen mainframes,
midranges, LANs, workstations, and PCs. Because of the underlying LU 6.2
technology, XCOM 6.2 supports unattended and bidirectional transfers,
checkpoint restart, and transfer initiation by either side between all of
the following platforms in addition to HP-UX: MVS, VM, DOS/VSE, PC-DOS,
OS/2, LAN gateways, VAX/VMS, AS/400, S/38, S/36, Data General, S/88,
Tandem, and Macintosh.
5. Legent/Tivoli Announcement
In addition to the HP/Legent relationship announcement, Legent has also
announced a relationship with Tivoli systems. As part of this relationship:
1. Legent has licensed Tivoli's framework (sometimes
called TME) but has not licensed the applications
that accompany the framework. Legent will port
the framework to IBM's MVS by late '93.
2. Legent and Tivoli will be doing joint development
on future projects (not yet specified)
3. Legent has made an equity investment in Tivoli
(<10%) and will have a seat on their board

Q. Given HP and Tivoli's recently announced relationship, what impact
does does this have on Legent?
A. Legent, Tivoli, and HP all have agreements with each other covering
covering various aspects of their respective technologies and market
areas. All three companies will cooperating and communicate together,
either directly, based on specific product and technology areas, or
indirectly by working toward common goals and objectives.
Q. How do HP's OpenView and Tivoli's TME complement each other, both
both at the framework level and also at the application level?
A. The Tivoli Management environment and HP OpenView technologies
constitute a major portion of OSF's DME, an important forthcoming
forthcoming standard for distributed systems management. Therefore, the
two products are very complementary at the framework level, and both
provide a fast, easy path to DME. At the applications level, the two
offer complementary and overlapping technology.
The bottom line is that the combination of TME and OpenView on HP systems
gives the customers the industry's broadest choice of solutions for
network and systems management. Many customers will choose both TME and
OpenView, and will find the combination very satisfactory.
Q. Why did HP choose Legent?
A. Legent is one of the leading independent mainframe software vendors in
the world, and a preferred provider to corporate MIS. A majority of the
installed IBM mainframes use Legent sotware for mainframe systems
management. Legent's support of their software on HP-UX will provide HP
access to IBM datacenters to offer less expensive Unix solutions as
alternatives to more costly mainframes. Legent's excellent reputation as
a quality provider of solutions and services matches well with HP's
philosophies.
Q. What are the specifics of the relationship between Legent and HP?
A. Legent and HP will be cooperating to move Legent's software
management family of products, Endevor, to the HP-UX platform. In
addition, Legent and HP will integrate Endevor with HP's SoftBench
product, a distributed application development environment.
HP and Legent will continue to market and sell their own respectives
products. HP will assist Legent with technical expertise, appropriate
hardware and software, as well as on-going support and education.
Q. What is SoftBench?
A. SoftBench is HP's distributed application development environment.
Through its use of messaging, SoftBench is able to integrate multiple,
heterogeneous application deveopment tools. Tools such as compilers,
debuggers, design aids, and software management can now work together
and provide a consistent framework while developing consistent framework
while developing applications.
SoftBench has been adopted by many vendors in the Open Systems
marketplace and is widely used and accepted in the industry. CASE
COMMUNIQUE is a standards group which has been formed to help standards
group which has been formed to help refine and standardize how tools
interoperate using SoftBench.
Q. Why has Legent chosen to integrate into the SoftBench framework?
A. In the open systems arena, the SoftBench framework is the de-facto
standard application integration environment, with over 26,000
installation worldwide. This integration will allow customers to have a
complete environment for the development and deployment of their
applications.
Q. When will it be available on HP-UX?
A. Product testing is anticipated for the end of 1993.
Q. Which HP systems will this be available on?
A. Endevor will be available on the HP 9000 Series 800 Business Servers
and the Series 700 workstations.
Q. Is Legent supporting any other platforms?
A. Legent will also be porting their software to Sun and IBM's AIX.
Q. What are the benefits of this product announcement to users?
A. As systems become more complex and more heterogeneous, managing and
controlling software throughout the enterprise becomes a more difficult
task. As applications spread throughout the enterprise, auditors will
demand the same accountability and controls that exist in mainframe
systems.
The problem is compounded by parallel development taking place on
multiple different servers (i.e. Unix, OS/2) connected to multiple
different desktops (ie. DOS, and windows). Additionally, these
applications may be deployed to yet another configuration (ie. AS400)
Endevor is designed to solve many of these problems. It offers customers
a single distributed approach to managing software and applications
throughout the network. Endevor spans multiple, different heterogeneous
hardware and software environments through the enterprise.
Q. Is this strategy for the HP 9000 only? What is being done for the HP
3000 customers who have the same needs?
A. The Legent and HP announcement relates to the HP 9000 only at this
time. However, the SoftBench integration allows Endevor to access
libraries, compile, and debug code on remote servers, including remote
HP 3000 servers running SoftBench Link 3000 by SAIC.
Q. How is this different than Legent's Sun relationship?
In addition to porting Endevor to HP's HP-UX, the agreement with HP
agreement with HP also calls for Endevor to be integrated with HP's
product, SoftBench. Endevor is Legent's family of software management
tools, while SoftBench is HP's distributed application development
environment. The SUN agreement also deals with Endevor, but lacks the
integration with a corresponding development environment.
Furthermore, Legent and HP have ongoing discussions about relationships
in other areas of system management. While no agreements have been
reached as of yet, dialogues continue.
Q. Which applications do you expect to come across from Legent next?
A. Legent and the responsible HP Divisions are discussing which products
maximize our market impact and evaluating the technologies are required
to bring them across. We will be making announcements as decisions are
made.
Q. How does this offering differentiate Legent from its competition in
the configuration and change management areas?
A. While some competitors offer some aspects of version control, no
control, no other product provides rich functionality, commercial
utilization and production-level controls offered by Endevor. Now with
the migration of Endevor onto many platforms, it is possible to have a
single software management tool which spans multiple, heterogeneous
platforms throughout the enterprise. Customers can implement the same
methodology and achieve consistent controls regardless of environment or
platform. In addition, the complete environment will be integrated and
interoperable with other copies of Endevor throughout the enterprise.
Q. What impact does the Legent-HP announcement have on HP's previously
announced agreement with Computer Associates?
A. As a leading open systems vendor, HP is a strong advocate of
providing providing our customers with the broadest range of options
available. Making both Legent and Computer Associates solutions
available on our systems demonstrates that commitment to choice.
Q. What other relationships is Legent planning?
A. Legent will continue to pursue partners which can provide Legent with
technology building blocks, market access, or technical expertise toward
providing enterprise-wide systems management solutions. These
relationships may be expressed in the form of a cooperative marketing
relationship or some form of financial agreement. A probable example may
be additional platform announcements which can offer Legent further
insight into specific issues.
